1. Acceptance of terms
These Terms of Service (“Terms”) are a binding agreement between you and Stoatify (“Stoatify,” “we,” “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
2. The Service
Stoatify provides a private document vault that lets you upload, organize, search, store and share documents on the web and on iOS. We may update, improve or change the Service over time, and may add or remove features at our discretion.
3. Accounts
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity that occurs under your account. Authentication is provided by our identity provider; you must comply with any applicable requirements of that provider. You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service.
4. Your content
You retain all ownership of the documents, files, notes and other materials you upload (“Your Content”). We do not claim ownership of Your Content.
You grant us a limited, non-exclusive license to host, store, process, transmit, index and display Your Content solely as necessary to operate and provide the Service to you and to those you authorize (for example, members of your organization or recipients of a share link). We do not use Your Content for advertising and do not use it to train AI models.
You are solely responsible for Your Content and for ensuring you have the rights necessary to upload and share it.
5. Acceptable use
You agree not to use the Service to:
- Violate any law or infringe the rights of others;
- Upload or share content you do not have the right to store or distribute;
- Upload malware or attempt to compromise the security or integrity of the Service;
- Gain unauthorized access to any account, organization, or data;
- Interfere with, overload, or disrupt the Service or circumvent rate limits; or
- Resell or commercially exploit the Service except as expressly permitted.
6. Organizations & sharing
If you create or administer an organization, you are responsible for managing its members, roles and permissions, and for the activity that occurs within it. When you share a document or grant access to another person or group, you are responsible for choosing who can access it. Administrators may be able to access content within their organization in accordance with the roles and permissions configured.
7. Third-party services
The Service integrates with third-party services that you choose to connect, such as identity providers, email inboxes, or AI assistants. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Access you grant to AI assistants is scoped and revocable and can be withdrawn at any time.
8. Plans & payment
We may offer free and paid plans. If you purchase a paid plan, you authorize us (or our payment processor) to charge the applicable fees, which are non-refundable except as required by law or expressly stated. Pricing and features may change; we will give reasonable notice of material changes to paid plans.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (such as ownership, disclaimers, and limitations of liability) will survive. We will make Your Content available for a reasonable period where practicable, after which it may be deleted.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements. You are responsible for maintaining your own backups of important documents.
11. Limitation of liability
To the maximum extent permitted by law, Stoatify and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits or revenue, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars (USD $100).
12. Indemnification
You agree to indemnify and hold harmless Stoatify from any claims, damages, liabilities and expenses arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Stoatify is established, without regard to its conflict-of-laws rules. The courts located there will have exclusive jurisdiction over any dispute, except where prohibited by applicable law.
14. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
